(Adopted at the first meeting of the first Council of Jilin University Alumni Association on September 26th, 2009)
Chapter I General Provisions
Article 1 The name of this group is Jilin University Alumni Association, which is translated into English as Jilin University Alumni Association.
Article 2 This group is a non-profit joint social group with legal personality voluntarily formed by alumni of Jilin University.
Article 3 The purposes of this group are: to abide by the national constitution, laws, regulations and national policies, and to abide by social morality; Widely contact and unite alumni, strengthen the contact between alma mater and alumni at home and abroad, and serve the society, schools and alumni; Carry forward the "Spirit of Jilin University" and make contributions to the development of Jilin University and the construction of a harmonious socialist society.
Article 4 The organization accepts the operational guidance, supervision and management from the competent business unit, the Ministry of Education, the organization registration authority and the Ministry of Civil Affairs.
Article 5 The address of this group is located in Jilin University, Changchun City, Jilin Province, People's Republic of China (PRC).
Chapter II Scope of Business
Article 6 The business scope of the Group includes:
(a) to promote contacts and exchanges between alumni at home and abroad, and between alumni and their alma mater;
(two) to promote cooperation and exchanges between schools and local and alumni in education, scientific research and culture;
(three) to assist the school to collect the opinions and suggestions of alumni and all walks of life on the reform and development of the school;
(four) to assist schools to expand school resources and employment channels for graduates;
(5) Editing and publishing alumni publications; Website construction of Jilin University Alumni Association;
(6) Raise and manage Jilin University Alumni Fund.
Chapter III Members
Seventh members of this group are divided into unit members and individual members.
Article 8 A member applying to join this group must meet the following conditions:
(a) Support the articles of association of the Group;
(two) have the will to join this group;
(3) Individual members shall be those who have studied and served as teachers in Jilin University (including former Jilin University of Technology, Bethune Medical University, changchun university of science and technology, Changchun Institute of Posts and Telecommunications, and China People's Liberation Army Quartermaster University) (including those who have been awarded honorary degrees and part-time professors hired by Jilin University); The members of the unit are enterprises, institutions and mass organizations with legal personality, and they join the group in the name of the unit.
Article 9 The procedures for joining the club are as follows:
(1) Submit a membership application registration form;
(two) discussed and adopted by the Council or the Standing Council;
(3) The membership card shall be issued by an organization authorized by the Council.
Article 10 Members shall enjoy the following rights:
(a) The right to vote, to be elected and to vote within the group;
(two) to participate in the activities organized by this group;
(three) to obtain the priority of this group service;
(four) criticism, suggestions and supervision of the work of this group;
(5) Freedom to join and quit voluntarily.
Article 11 Members shall perform the following obligations:
(a) Implementing the resolutions of the Panel;
(two) to safeguard the legitimate rights and interests of this group;
(three) to complete the work assigned by the group;
(four) to pay membership fees in accordance with the provisions;
(five) to report the situation to the group and provide relevant information.
Article 12 When a member withdraws from the meeting, he shall notify the group in writing and return his membership card. If a member fails to pay the membership fee or participate in the group activities within 1 year, it will be deemed as automatic withdrawal.
Article 13 A member who seriously violates the Articles of Association shall be removed by voting of the Council or the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Fourteenth the highest authority of this group is the member congress, and the functions and powers of the member congress are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(four) to formulate and revise the membership fee standards;
(5) Deciding to terminate.
(six) to decide on other major issues.
Fifteenth members' congress can only be held when more than two thirds of the members' representatives are present, and the resolutions of the members' congress can only take effect when more than half of the members' representatives present vote.
Article 16 Members' congresses are held every four years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors, reported to the Ministry of Education of People's Republic of China (PRC) and approved by the Ministry of Civil Affairs of the People's Republic of China. However, the longest extension shall not exceed 1 year.
Article 17 The Council is the executive body of the members' congress, which leads the group to carry out its daily work during the intersessional period and is responsible to the members' congress.
Article 18 The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(two) to elect and recall the president, vice president, secretary general and executive director;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(five) to decide to absorb or recall members;
(6) Deciding to establish offices, branches, representative offices and entities;
(seven) to decide on the appointment of consultants, deputy secretaries-general and principal responsible persons of various institutions;
(eight) to lead the work of this group;
(nine) to formulate internal management system;
(10) To decide on other major matters.
Article 19 The meeting of the board of directors can only be held when more than two thirds of the directors are present, and the resolution of the board of directors can only take effect when it is approved by more than two thirds of the directors present.
Article 20 The Council shall meet at least once a year. Special circumstances can also be held by means of communication.
Article 21 The Group shall establish a standing council. The Standing Council is elected by the board of directors, and the number of standing directors shall not exceed 65,438+0/3. When the board of directors is not in session, it shall exercise the functions and powers of Article 18 (1, 3, 5, 6, 7, 8 and 9) and be responsible to the board of directors.
Article 22 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and the resolutions of the Standing Council shall take effect only when more than two thirds of the executive directors are present and vote.
Article 23 The Standing Council shall meet at least once every six months. Special circumstances can also be held by means of communication.
Article 24 The Group shall have a chairman 1 person, several vice-presidents, a secretary-general 1 person, several consultants and several deputy secretaries-general.
Article 25 The president, vice-president and secretary-general of this group must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence in the business field of the Group;
(3) The maximum age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time;
(4) Being in good health and able to stick to normal work;
(5) Having not been subjected to criminal punishment of deprivation of political rights;
(6) Having full capacity for civil conduct.
Article 26 The president, vice-president and secretary-general of this organization shall be approved by the Council, reported to the Ministry of Education of People's Republic of China (PRC) and approved by the Ministry of Civil Affairs of the People's Republic of China before taking up their posts.
Article 27 The term of office of the president, vice-president and secretary-general of this group shall be four years, and the longest term shall not exceed two terms. If it is necessary to extend the term of office due to special circumstances, it must be approved by more than two thirds of the members of the general assembly, reported to the Ministry of Education of People's Republic of China (PRC) for review, and approved by the Ministry of Civil Affairs of the People's Republic of China.
Article 28 The president of this group is the legal representative of this group. The legal representative signs relevant important documents on behalf of the Group. In case of special circumstances, the vice president or the secretary general may act as the legal representative. The legal representative of this group shall not concurrently serve as the legal representative of other groups.
Article 29 The President of the Group shall exercise the following powers:
(a) to convene and preside over the Council or the Standing Council;
(two) to check the implementation of the resolutions of the members' congress, the Council and the Standing Council;
Article 30 The Secretary-General of this group shall exercise the following functions and powers:
(a) to preside over the daily work of the office and organize the implementation of the annual work plan;
(2) Coordinating the work of branches, representative offices and entities;
(3) Nominating the Deputy Secretary-General and the principal responsible persons of offices, branches, representative offices and units, and submitting them to the Council or the Standing Council for decision;
(four) to decide on the employment of full-time staff of offices, representative offices and entities;
(5) Handle other daily affairs.
Chapter V Principles of Asset Management and Use
Thirty-first sources of funds for this group:
(1) membership fees;
(2) donation;
(three) funded by Jilin University or the government;
(4) Income from activities or services provided within the approved business scope;
(5) interest;
(6) Other lawful income.
Article 32 This group collects membership fees in accordance with the relevant provisions of the state.
Article 33 The funds of this group must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 34 The Group shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting information.
Article 35 The Group is equipped with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. Accountants must conduct accounting and exercise accounting supervision. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 36 The asset management of this group must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of audit institutions and publish relevant information to the society in an appropriate way.
Article 37 Before the Group changes its legal representative, it must accept the financial audit organized by People's Republic of China (PRC), Ministry of Civil Affairs and Ministry of Education.
Article 38 No unit or individual may occupy, privately divide or misappropriate the assets of this group.
Article 39 The wages, insurance and welfare benefits of the full-time staff of this group shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Article 40 Any amendment to the articles of association of this group must be approved by the Council and reported to the members' congress for deliberation.
Article 41 The revised articles of association of this group shall come into effect within 15 days after being adopted by the member representative assembly, deliberated and adopted by the Ministry of Education of People's Republic of China (PRC) and approved by the Ministry of Civil Affairs of the People's Republic of China.
Chapter VII Termination Procedure and Property Disposal after Termination
Forty-second groups need to be revoked for various reasons, the Council or the Standing Council shall propose a termination motion.
Forty-third the motion to terminate the group must be approved by the members' congress, and submitted to the People's Republic of China (PRC) and the Ministry of Education for approval.
Article 44 Before the termination of the organization, a liquidation organization shall be established under the guidance of People's Republic of China (PRC), the Ministry of Education and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 45 This organization shall be terminated after the cancellation of registration by the Ministry of Civil Affairs of the People's Republic of China.
Forty-sixth after the termination of the group's remaining property, under the supervision of the Ministry of Education of People's Republic of China (PRC) and the Ministry of Civil Affairs of the People's Republic of China, in accordance with the relevant provisions of the state, for the development of undertakings related to the purpose of the group.
Chapter VIII Supplementary Provisions
Article 47 The Articles of Association was adopted by the general meeting of members on.
Article 48 The right to interpret the Articles of Association belongs to the Council of the Organization.
Article 49 The Articles of Association shall come into force as of the date of approval by People's Republic of China (PRC) and the Ministry of Civil Affairs.
