Regulations on the Administration of Company Registration
Article 20 The establishment of a limited liability company shall be applied to the company registration authority for registration by the representative designated by all shareholders or by an agent entrusted by the same ****. The establishment of a wholly state-owned company shall be authorized by the State Council or the local people's government of the people's government at this level of state-owned assets supervision and management agency as the applicant, apply for the establishment of registration. Laws, administrative regulations or decisions of the State Council that the establishment of a limited liability company must be approved, shall apply to the company registration authority within 90 days from the date of approval to apply for the establishment of registration; late application for the establishment of registration, the applicant shall be reported to the approving authority to confirm the validity of the original approval documents or to apply for approval.
Application for the establishment of a limited liability company shall be submitted to the company registration authority the following documents:
(1) the company's legal representative signed the application for registration of the establishment;
(2) all the shareholders to designate a representative or *** with the proxy certificate;
(3) the articles of incorporation;
(4) the shareholders of the qualification certificate or proof of identity of natural persons;
(v) documents stating the names and residences of the company's directors, supervisors, and managers, as well as certificates of appointment, election, or employment;
(vi) documents of office and proof of identity of the company's legal representatives;
(vii) notification of pre-approval of the enterprise's name;
(viii) proof of the company's residence;
(ix) Other documents required to be submitted by the State Administration for Industry and Commerce.
Where laws, administrative regulations or decisions of the State Council stipulate that the establishment of a limited liability company must be submitted for approval, the relevant approval documents shall also be submitted.
Measures for the Administration of Registration of Wholly Individually Owned Enterprises
Article 9 An investor who applies for registration of the establishment of a wholly owned enterprise shall submit to the registration authority the following documents:
(1) an application for the establishment of a wholly owned enterprise signed by the investor;
(2) proof of identity of the investor;
(3) proof of the residence of the enterprise;
(4) other documents required to be submitted under the regulations of the State Administration for Industry and Commerce. Administration for Industry and Commerce stipulates the submission of other documents.
Measures for the Administration of Registration of Partnership Enterprises
Article 11 The establishment of a partnership enterprise shall be carried out by the designated representatives of all the partners or **** the same commissioned agents applying for the establishment of registration with the enterprise registration authority.
Application for the establishment of a partnership shall be made by submitting the following documents to the enterprise registration authority:
(1) an application for registration signed by all the partners;
(2) identification certificates of all the partners;
(3) a power of attorney of the designated representative or *** with the entrusted agent of all the partners;
(4) a partnership agreement;
(5) an agreement of the partnership; and
(6) an application for the establishment of the partnership by the appointed representative of all the partners or the entrusted agent of the partners.
Application for the establishment of a partnership shall be submitted by the partners to the enterprise registration authority.
(v) the confirmation of all the partners' contribution or actual payment of the capital contribution by each partner;
(vi) the proof of the main place of business;
(vii) other documents required to be submitted by the State Council administrative department for industry and commerce.
Where laws, administrative regulations or the State Council stipulate that the establishment of a partnership is subject to approval, the relevant approval documents shall also be submitted.
Measures for the Administration of Registration of Individual Industrial and Commercial Households
Article 14 An application for registration of an individual industrial and commercial household shall be submitted with the following documents:
(1) an application for registration of an individual industrial and commercial household signed by the applicant;
(2) proof of identity of the applicant;
(3) proof of the place of business;
(4) other documents prescribed by the State Administration for Industry and Commerce. General Administration for Industry and Commerce stipulates the submission of other documents.
