Article 1 The name of this group is ShaanXi Food Association (abbreviated as "Shaanxi Food Association").
article 2 Shaanxi food association is a local, industrial and non-profit organization voluntarily formed by enterprises and institutions engaged in food research, processing, production, supply and marketing, storage and transportation, management and other related personnel in Shaanxi province.
Article 3 The purpose of Shaanxi Food Association is to abide by the national constitution, laws, policies and social morality; Set the strength of the industry, do the things of the industry, serve the industry and promote the development of the industry; Safeguard the legitimate rights and interests of members, safeguard the overall interests of the industry, promote the continuous improvement of the economy, technology and management level of the whole industry, and promote the healthy development of the industry.
article 4 the business of Shaanxi food association is guided by Shaanxi industrial transportation office, provincial light industry management office and China food association, and is subject to the supervision and management of the provincial civil affairs department, which is the organization registration authority.
Article 5 The office of Shaanxi Food Association is located in Xi 'an, Shaanxi Province. Article 6 The task of Shaanxi Food Association is to carry out its work under the guidance of Shaanxi Light Industry Management Office, play the role of a bridge and link between the food industry and the government, reflect the wishes and requirements of its members, coordinate and manage matters related to the food industry, and promote the development of the industry. Its specific tasks are as follows:
(1) To investigate, collect and sort out the industry situation. Study the direction and goal of industry development, make preliminary research and provide suggestions for government departments to formulate industry development plans and technology development policies;
(2) safeguard the legitimate rights and interests of member units and reflect the opinions and requirements of the industry to relevant government departments;
(3) organizing the conclusion of industry rules and conventions, and supervising their compliance;
(4) compiling publicity materials such as industry introduction and comprehensive product samples, industry yearbooks and relevant publications, and providing information consulting services for members;
(5) assist the government to dredge various relationships inside and outside the industry, prevent unfair competition, and promote the common development of enterprises;
(6) to carry out technical and product quality consulting activities, organize domestic and foreign food technology exchanges, cooperative research and development, popularize scientific and technological achievements, and promote the technological progress of the industry and the rational adjustment of product structure;
(7) Feedback the quality information of this product in time, summarize and exchange enterprise management experience, carry out enterprise management consultation, and promote enterprise modernization management;
(8) provide various forms of professional and technical training activities for member units according to the needs of industry development;
(9) to examine and recommend outstanding works, important inventions, patents and major scientific and technological achievements in the food industry jointly with relevant departments;
(11) to assist government departments in organizing the drafting, revision and review of local standards and enterprise standards in their respective industries;
(11) to undertake other tasks assigned by government departments. Article 7 Members, sub-unit members and individual members of Shaanxi Food Industry Association:
(1) Unit members: Enterprises and institutions engaged in food production, scientific research, teaching, circulation and raw material supply can apply to our Association and become unit members of the Association after discussion and approval by the Council, and the Council will issue unit membership cards;
(2) individual members: all experts, engineers and technicians who have made important contributions to the development of the food industry, as well as those who have been engaged in the production, education, scientific research and circulation departments of the food industry all the year round, or individual workers who have special skills in food processing technology, recognize the articles of association of this association and apply voluntarily. After discussion and approval by the Council, they can become individual members of this association, and the Council will issue individual membership cards.
Article 8 Rights of members
(1) Enjoy the right to vote, to be elected and to vote;
(2) have the right to suggest and criticize the work of the association;
(3) Have the right to obtain relevant publications and materials issued by the Association and participate in various activities organized by the Association;
(4) enjoy the priority and preferential right of consulting services provided by the association in production technology, scientific and technological development, enterprise management, etc.;
(5) Members have the freedom to withdraw from the meeting. The withdrawal of a member shall be reported to the Council in writing for the record, and the membership shall be cancelled and the membership card shall be returned.
Article 9 Obligations of members:
(1) Abide by the articles of association and implement the resolutions of the association;
(2) safeguard the legitimate rights and interests of the association and unite all members;
(3) to complete the tasks entrusted by the Association and support the work of the Association;
(4) Pay the membership fee according to the regulations. If the membership fee is not paid in 1 years, it will be deemed as automatic withdrawal;
(5) report the situation to the association and provide relevant information.
article 11 if a member seriously violates the articles of association or fails to participate in the activities of the association without any reason, it shall be removed from the membership after being voted by the board of directors.
Chapter IV Generation and Dismissal of Organization and Responsible Person
Article 11 The highest authority of Shaanxi Food Association is the member congress, and the members' representatives are recommended by enterprises and institutions engaged in the food industry. The functions and powers of the member congress are:
(1) to formulate the working principles and tasks of the association;
(2) to review and approve the work report of the Council;
(3) to formulate and revise the articles of association;
(4) to elect and recall directors;
(5) Deciding to suspend matters;
(6) to examine and approve the standards and methods for the collection of membership fees and the financial revenue and expenditure.
Article 12 A member congress can only be held when more than 2/3 of the members are present, and its resolution can only take effect when more than 2/3 of the representatives present vote.
article 13 the member representative assembly shall be held every four years. If it is necessary to convene in advance or postpone (change) due to special circumstances, it must be approved by the board of directors and reported to the competent business department for the record.
article 14 the board of directors is the executive body of the members' congress, which leads the association to carry out its daily work during the intersessional period and is responsible to the members' congress.
Article 15 The functions and powers of the Council are:
(1) To implement the resolutions of the Congress;
(2) to elect and recall the president, vice-president and secretary-general;
(3) prepare for the convening of a member representative meeting;
(4) report the work and financial status to the members' congress;
(5) to decide on the admission and expulsion of members;
(6) to formulate the work plan of the association and organize its implementation;
(7) to decide on the appointment of the Deputy Secretary-General and other principal responsible persons;
(8) to formulate the internal management system of the association;
(9) to decide on other important matters.
article 16 the board of directors shall be convened only when more than 2/3 of the directors are present, and its resolutions shall take effect only when more than 2/3 of the directors present vote.
article 17 if more than two-thirds of the directors propose to recall and elect the main person in charge of the association, the board of directors shall elect the meeting moderator to convene the board of directors.
article 18 the board of directors shall meet at least once a year. in special circumstances, it may also be convened by means of communication.
article 19 the association shall establish a standing Council, which shall be elected by the Council and exercise the functions and powers of items 1, 3, 5, 6, 7 and 8 of article 14 when the Council is not in session.
article 21 the standing Council shall be convened only when more than two-thirds of the standing directors are present, and its resolutions shall take effect only when more than two-thirds of the standing directors present vote.
article 21 the standing Council shall meet once every six months. in special circumstances, it may also be convened in the form of communication.
Article 22 The president, vice-president and secretary-general of this Association must meet the following conditions:
(1) Adhere to the Party's line, principles and policies and have good political quality;
(2) It has great influence in the business field of the Association;
(3) Being in good health and able to work normally;
(4) Having full capacity for civil conduct.
article 23 the president of this association shall exercise the following functions and powers:
(1) to convene and preside over the Council or the standing Council;
(2) check the implementation of the resolutions of the members' congresses and councils (or standing councils);
(3) Signing relevant important documents on behalf of the Association;
Article 24 The Secretary-General of the Association shall exercise the following functions and powers:
(1) Preside over the daily work of the office and organize the implementation of the annual work plan;
(2) handle other daily affairs.
chapter v sources of funds and management
article 25 sources of funds of this association:
(1) membership fees;
(2) Donation and sponsorship;
(3) Income from activities or services within the approved business scope;
article 26 the association collects membership dues in accordance with relevant state regulations.
article 27 the funds of this association must be used for the development of the business scope and undertakings stipulated in the articles of association, and subject to the supervision of the members' congress.
Chapter VI Procedures for Amending the Articles of Association
Article 28 Any amendment to the Articles of Association shall be approved by the board of directors and submitted to the members' congress for deliberation.
article 29 the revised articles of association of this association shall come into effect after being examined and approved by the competent business department within 15 days after being adopted by the members' congress and reported to the Shaanxi provincial civil affairs department for approval.
chapter VIII supplementary provisions
article 31 these articles of association shall be discussed and voted by the congress.
article 31 the right to interpret these articles of association belongs to the Council of this association.
article 32 the articles of association shall come into effect as of the date of approval by the Shaanxi provincial civil affairs department.
