What materials do you need to register a subsidiary and how to handle it?

Step 1: First, apply for a business license at the local industrial and commercial bureau of the branch company, and submit the following materials:

1. Application for Registration of the Establishment of the Branch Company signed by the company legal person;

2. Power of Attorney for Enterprise (Company) Application for Registration signed by the company as a legal person;

3. Copy of the resolution of the company's shareholders' meeting (on the establishment of a branch)

4. Certificate of use of the branch's business premises:

Submit a copy of the property ownership certificate for the own property;

for the leased house, submit the original lease agreement of the branch company and a copy of the lessor's property right certificate and lease invoice;

5. The post-holding document of the person in charge of the branch issued by the company;

6. Grant certificate of the head office

7. Copy of the business license of the branch company, with the company seal affixed.

if the above items are not indicated as copies, the originals shall be submitted;

Step 2: After obtaining the license, go to the Quality Supervision Administration for the organization code certificate:

1. One original and one copy of the business license of the branch company

2. The official seal of the company;

3. One original and one copy of the ID card of the legal representative and agent of the unit;

Step 3: handle the national and local tax registration of the branch:

1. Tax Registration Form in triplicate;

2. A Registration Form of House, Land, Vehicle and Vessel (submit local tax);

3. The Filing Form for Taxpayers of the Branch is in duplicate;

4. The original and photocopy of the branch business license in duplicate;

5. The original and photocopy of the organization code certificate of the branch company are in duplicate;

6. The original and photocopy of the ID card, passport or other legal documents of the person in charge of the branch in triplicate;

7. The original and photocopy of the ID card and accounting qualification certificate of the financial controller of the branch company, and the original and photocopy of the ID card of the tax officer;

8. Proof of production and business operation place:

(1) The company owns the real estate, and provides two copies of the property ownership certificate and land use certificate of the own real estate;

(2) for the leased property, two copies of the lease contract, the copy of the lease invoice, the lessor's real estate license and the copy of the land use certificate shall be provided.

9. duplicate copies of the business license of the head office and the tax registration certificate of national and local taxes;

11. a copy of the articles of association of the head office of the branch;

11. The resolution of the head office approving the establishment of branches and the certificate of allocating funds in duplicate;

12. Other relevant certification materials.

remember: the business scope of the branch shall not exceed the business scope of the company.
