If the film cannot be completed on schedule or affects the quality of the film due to Party A's reasons, and Party A makes a request for remediation from Party B, Party B has the right to refuse or make a compensation request to Party A.

Party B is not allowed to change the script at will during the production period. If this causes Party B’s workload to increase or the film delivery time to be delayed, Party B has the right to require Party A to pay additional fees.

Party B shall not disclose relevant information provided by Party A to outsiders, and shall keep Party A’s business information absolutely confidential.

IV. Payment and film review methods:

1. Payment method:

When both parties sign a formal contract, Party A shall pay the down payment to Party B, calculated as follows: RMB yuan (lowercase ¥); Party A will settle the entire balance after the film is reviewed and approved, and it will be calculated in RMB yuan (lowercase ¥).

2. Film review method:

Unfinished matters shall be resolved through negotiation between the two parties in the spirit of friendly cooperation. 4. During the review period, Party A has the right to require Party B to make post-editing changes to the finished film without departing from the script.

Party A’s obligations:

1. Party A is obliged to pay relevant fees in accordance with the contract;

Party B’s rights:

5. Intellectual property rights agreement:

2. Film production period:

3. Provision of film production materials and film production requirements:

2. When signing this contract, Party B shall deliver the production script of this contract to Party A, which shall be signed and confirmed by both parties as an attachment to this contract. 3. During the production process, Party A provides Party B with Party A’s related products, corporate professional texts and corporate texts, pictures, addresses, phone numbers and other information needed for the production of the video.

4. After the video production is completed and delivered to Party A, the copyright of the video belongs to Party A. Party A has the right to enjoy the distribution rights, publishing rights and original material rights of all films.

5. Party B shall produce in strict accordance with Party A’s production requirements to ensure that the picture quality and technical quality of the film meet the standards agreed upon by both parties. The technical indicators of the completed film shall not be lower than the standards determined by Party A's film production requirements.

6. Party B is responsible for presenting all script creativity, translation, refinement, lines (Chinese and English), split shots, and subtitles through the film.

7. Party B guarantees that the copyright of the production content is legal (including: images, music, dubbing, and actor portrait rights, etc.).

IV. Production costs and payment methods:

1. The project design and production costs*** are in RMB (RMB) and shall be paid by Party A.

5. Acceptance standards and methods:

1.2 The film and television project document contains no text spelling, pictures, audio, and video errors (subject to the materials provided by Party A).

2. If Party A needs to modify the creative ideas, change the production script, or increase the film content and production length or other new production requirements during the production process, the two parties shall separately negotiate to determine the production period and increased production costs, etc. issues and sign a separate written supplementary agreement.

3. Party B will submit the finished video sample to Party A for review in the form of multimedia data within the agreed time. Party A's review

4. If Party A has objections to the completed product, it shall submit modification opinions to Party B in writing or by email during the review period, and Party B shall complete the modifications according to Party A's modification opinions.

VI. Rights and obligations of both parties:

1. Party A’s rights and obligations:

1.3 After Party B receives the confirmed content from Party A; especially the confirmed content in the PPM of Party A and Party B or Party A’s written confirmation of modification opinions, if Party A needs to add new content or modify the advertising film again, The costs incurred will be calculated based on the actual increased modification costs; at the same time, both parties will coordinate the time and method of re-delivery.

2. Party B’s rights and obligations:

2.1 Party B must be responsible for the entire implementation process, film quality and creative performance of the film. Strictly follow the script requirements of Party A.

Creative design, shooting and production, and all technical indicators must meet the broadcast requirements. If there are quality problems, Party B will bear the liability for breach of contract and take corresponding remedial measures.

2.2 Party B shall ensure that the finished film content it provides does not violate any laws and regulations or infringe upon the legitimate rights and interests of any third party (including but not limited to intellectual property rights). Otherwise, Party B shall be responsible for all consequences.

2.3 Party B must produce according to Party A’s requirements. If Party B needs to change the creative idea, it must be approved by Party A.

2.4 During the project period, Party B will make free modifications to the film production in accordance with the non-principle modification opinions proposed by Party A.

2.5 In accordance with the requirements stipulated in the contract, use Party A to browse the film and television files of the contracted film and television production project in a timely manner.

2.6 Complete the development of the film and television production project within the time limit specified in the contract, and promptly notify Party A for acceptance.

2.7 At the request of Party A during the acceptance period, unqualified areas shall be modified in a timely manner.

2.8 Confidentiality obligations:

2.8.1. Party B shall strictly keep this contract and any confidential information of Party A learned during its performance (including but not limited to any data, product technology data and other valuable information, etc.) and trade secrets, and shall not disclose the above information and secrets to any third party after the expiration of this agreement. Even if it is provided to personnel related to the performance of this contract, attention should be paid to keeping it confidential and limited to the scope necessary to perform the contract.

2.8.2 Within 15 days after both parties terminate the contract, Party B has the responsibility and obligation to return all originals and copies of the certificates, product specifications, drawings and other product information related to the film and television products entrusted by Party A. Failure to repay within the time limit will be regarded as Party B's private disclosure of confidentiality, and Party A reserves the right to further pursue the legal liability of the supplier.

2.8.3. Party B is responsible for keeping this contract confidential. Without formal written authorization from Party A, Party B shall not disclose all or part of the text or content of this contract to third parties (including agencies, Enterprises, organizations, collectives, individuals and other third parties), otherwise, Party A will pursue the supplier's liability for leakage through legal means.

2.8.4. This clause will remain effective within five years after this contract is terminated, rescinded, invalidated or confirmed to be invalid, and is legally binding on both parties.

7. Liability for breach of contract:

1. Both parties shall strictly perform the contract in accordance with the provisions of this contract. If one party breaches the contract, it shall bear the liability for breach of contract and compensate the other party for the breach of contract. losses caused to the other party.

2. If Party A makes late payment, Party A must pay Party B a penalty of 0.5% of the unpaid production fee for each day of the overdue period.

3. If Party B cannot complete the production or modification on time, Party B must pay Party A a penalty of 2% of the total contract amount for delay every day until the production project is completed. Liquidated damages may be deducted from unpaid amounts.

4. If Party B violates its obligations under this contract, Party B shall pay Party A a liquidated damages of 20% of the total contract amount.

5. If Party B is still unable to complete production or modification after 10 working days, Party A has the right to terminate this contract, and Party B shall issue a notice of termination on the date

The amount received will be returned to Party A in full and unconditionally within 5 working days, and liquidated damages for delay will be paid to Party A in accordance with the calculation method agreed in paragraph 3 of this article. 8. Force majeure:

5. Any supplements, additions and modifications to the terms of the contract shall be made in writing and signed by authorized representatives of both parties.
