Party A and Party B sign this agreement on the establishment of a store in partnership:

Article 1 Party A and Party B jointly operate a restaurant, and the name of the restaurant is "Zhangjiapu" through negotiation.

Article 2 The registered capital of Zhangjiapu is RMB 400,000.00 Yuan only, and each party contributes RMB 200,000.00 Yuan only.

Article 3 All preliminary procedures such as business license, tax registration certificate and hygiene license of Zhangjiapu Store shall be handled by Party A at its sole discretion.

Article 4 The rent for the front of Zhangjiapu Store is RMB 10000 per month, and Party A and Party B each pay RMB 5,000, and the payment date is RMB 12 days per month.

Article 5 Zhangjiapu shall not engage in any business other than catering. In case of suspected illegal and criminal acts, Party A, the actual operator, shall bear all the responsibilities, and Party B shall not bear joint and several liabilities.
