Chapter I General Principles
Article 1 The name of this Association is Guangdong Catering Service Association (abbreviated as GCSA).
Article 2 The nature of this Association: a provincial cross-departmental, cross-ownership and non-profit industrial organization voluntarily formed by enterprises, institutions, organizations and management personnel engaged in catering business, with the qualification of social group legal person.
article 3 the purpose of this association: to abide by the constitution, laws, regulations and relevant policies of the state, to observe social morality and fashion, to fully implement Scientific Outlook on Development, to build a resource-saving and environment-friendly society, to promote social harmony, to face the whole industry, to reflect the wishes of members, to convey and implement relevant policies of the state, to develop the service and consumption market, and to cultivate technical and management talents.
article 4 this association accepts the business guidance, supervision and management of the competent business units and the registration and management organs of associations. The competent business department of this Association is Guangdong Economic and Trade Commission, and the organization registration administration organ is Guangdong Provincial Administration of Non-governmental Organizations.
article 5 the activity area of this association is located in Guangdong province.
Article 6 The domicile of the Association is located at Room 819-811, West Tower of Huapu Plaza, Zhujiang New Town, Guangzhou, Guangdong Province.
Chapter II Scope of Business
Article 7 Scope of business of the Association: Focusing on promoting the sustainable development of the catering industry in our province and improving the economic benefits of its members, assisting the competent departments of Guangdong Province to carry out the following tasks:
(1) publicizing and implementing the national guidelines and policies on relevant industries, formulating industry development plans and regulations, and promoting industry self-discipline;
(2) reflect the wishes of members and protect the legitimate rights and interests of the catering service industry;
(3) to assist the relevant government departments in organizing the implementation of national standards and industry standards for catering services, popularize modern scientific management methods and business methods, and promote scientific and technological innovation, industrial innovation, product innovation and brand building in the industry;
(4) organize and guide the catering industry to implement Scientific Outlook on Development. Under the authorization of the relevant competent departments, we will create independent innovative, economical, safe production, honest and harmonious enterprises, carry out green hotel creation activities, carry out famous shops, famous teachers and famous products activities, and organize identification and recommendation. Study the experience of market development and scientific management in the industry. Exchange experience and evaluate quality and performance, so as to serve the sustainable development of the industry and the comprehensive construction of a harmonious society.
(5) organizing professional technical training, technical exchanges and technical competitions in the catering service industry. Accept the authorization of the competent department to handle professional qualification assessment, professional technology and professional qualification certificates of the industry, and improve the quality of the industry.
(6) organize exhibition activities of catering service industry in our province, expand domestic exchanges and cooperation, introduce advanced management experience and technology, and explore the domestic market;
(7) to provide members with market information and various business consulting services;
(8) organize and promote the development of leisure bath, KTV, bars, hotels and restaurants in scenic spots, strengthen and maintain contact and communication with local catering industry organizations, give full play to the joint advantages of the association, promote contact and cooperation among members and between members and related enterprises and institutions, and improve economic and social benefits;
(9) editing books and periodicals on the catering industry;
(11) to undertake matters in this industry authorized or entrusted by relevant government departments.
chapter iii members
article 8 members of this association are group members and individual members.
Article 9 Members who apply to join the Association must meet the following conditions:
(1) Group members:
Restaurants and catering service enterprise groups all over Guangdong Province, enterprises and institutions related to the catering service industry, catering service associations (societies, research institutes), universities and research institutions in the catering service industry, regardless of affiliation or ownership nature, can voluntarily apply for membership and become the Association.
(2) Individual members:
Middle and senior managers, researchers, professors and people with rich experience in industry management of restaurants can apply for membership voluntarily and become individual members of the Association.
Article 11 The procedures for membership are as follows:
(1) Submit an application for membership and fill in the application form for membership;
(2) discussed and approved by the standing Council or the office meeting of the authorized secretary-general;
(3) Signboards issued by the Secretariat to membership certificate and its members.
Article 11 Members shall enjoy the following rights:
(1) Attend the general meeting of members, participate in the activities of the Association and accept the services provided by the Association;
(2) the right to vote, to be elected and to vote;
(3) get the priority of our service;
(4) the right to propose proposals, make suggestions and supervise the work of this association;
(5) voluntary membership and freedom of withdrawal;
Article 12 Members shall perform the following obligations:
(1) Abide by the articles of association of this Association;
(2) to implement the resolutions of this Council;
(3) Pay the membership fee as required;
(4) to safeguard the legitimate rights and interests of the association and the industry;
(5) Complete the work assigned by this Association;
(6) report the situation to this Council and provide relevant information;
Article 13 A member who withdraws from the meeting shall notify the Association in writing and return his membership card and membership signboard.
if a member fails to fulfill his membership obligations and does not participate in the activities of the association, it will be regarded as automatic withdrawal.
Article 14 If a member commits a serious violation of the Articles of Association, it shall be removed from the membership after being voted by the Council or the Standing Council.
Article 15 The standard for members to pay membership dues:
(1) The vice-president unit pays membership dues of RMB 1,111 yuan per year;
(2) The annual membership fee of the executive director unit is 5,111 yuan;
(3) The director unit pays the annual membership fee of 3,111 yuan;
(4) General member units pay annual membership fee of RMB 1,111.
(5) Individual members pay the annual membership fee of 311 yuan.
Article 16 A member who withdraws from the meeting shall notify the trade association in writing and return the membership card. If a member fails to pay the membership fee or participate in the activities of this trade association for 1 years, it will be regarded as automatic withdrawal.
Article 17 If a member does not abide by the articles of association of this trade association, it will be criticized and educated by this trade association; If there is any serious violation of the Articles of Association, it will be removed from the membership by voting at the general meeting.
chapter iv creation and removal of the organization and the person in charge
article 18 this association is composed of members. The members' congress is the highest authority of the trade association, and exercises its functions and powers in accordance with the laws and regulations of the state and the articles of association of the trade association.
Article 19 The members' congress shall exercise the following functions and powers:
(1) To decide the business scope and work functions of the association within the scope prescribed by laws and regulations;
(2) to elect or recall the president, vice-president, secretary-general, directors and supervisors; (The election shall be conducted by secret ballot)
(3) To review the annual work report of the Board of Directors and the Board of Supervisors and the annual financial budget and final accounts plan;
(4) to consider the proposal of the board of directors on delisting members;
(5) To make resolutions on the alteration, dissolution and liquidation of the Association;
(6) changing or revoking inappropriate decisions of the Council;
(7) to formulate or amend the articles of association and the election method of the organization;
(8) Deciding to terminate;
(9) to decide on other major issues.
article 18. the member congress is held for 4 years. Due to special circumstances, it is necessary to advance or postpone the general election, which shall be voted by the Council and reported to the registration authority of the association for approval. However, the longest extension shall not exceed 1 years. The members' congress shall meet at least once every two years. If the Council deems it necessary or more than one-fifth of the members propose, an interim members' congress may be convened.
Article 19 A member congress must be attended by more than two-thirds of all members' representatives; Its resolution shall be adopted by more than half of all members' representatives. The members' congress shall make minutes of the decisions on the matters discussed and announce them to the members.
article 21 this association shall have a Council. The Council is the permanent body of the member congress, and performs its duties in accordance with the resolutions of the member congress and the articles of association when the member congress is not in session.
Article 21 The functions and powers of the board of directors are:
(1) to prepare and convene the members' congress;
(2) implement the resolutions of the members' congress and report the work to the members' congress;
(3) to decide on the specific work and business of the association;
(4) to formulate the annual financial budget plan, final accounts, alteration, dissolution and liquidation plan of the Association;
(5) To formulate plans for increasing or decreasing the registered capital of the Association;
(6) to decide on the establishment of the internal institutions of the Association and lead the internal institutions of the Association to carry out their work;
(7) to decide on the new applicant's membership and the punishment for the member, and to propose the removal of the member;
(8) to appoint or dismiss the Secretary-General of the appointment system, and decide on the principal responsible persons of the branches of the Association; According to the nomination of the Secretary-General, appoint or dismiss the Deputy Secretary-General and the principals of the offices and representative offices of the Association, and decide on their remuneration;
(9) to formulate the internal management system of the association;
(11) other matters stipulated in the articles of association.
Article 22 The Council shall meet at least once every six months; Special circumstances, can also be held in the form of communication. The meeting of the board of directors can only be held when more than half of the directors are present, and its resolution can only take effect when it is approved by more than half of all the directors. The Council shall form minutes of the meeting on the resolution and make an announcement to all directors.
the meeting of the Council shall be convened and presided over by the president; When the President is unable to perform his duties due to special reasons, the President shall entrust the Vice President or the Secretary General to convene and preside over the meeting. More than one third of the directors may propose to convene the Council.
article 23 where the number of the board of directors is more than 51, the executive director may be elected from among the directors and a standing Council may be established as required, and the standing Council shall be responsible to the board. The Standing Council is composed of President, Vice President and Executive Director; The number of executive directors is one third of the number of directors. When the Council is not in session, the Standing Council may exercise the first, second, fourth, fifth, sixth, seventh, eighth and ninth functions and powers stipulated in Article 21 of the Articles of Association with the authorization of the Council. The Standing Council shall meet at least once every three months; Special circumstances can also be held by means of communication. Resolutions made by the Standing Council must be passed by more than half of the standing directors.

Article 24 Rules and procedures for the establishment of branches and representative offices of this Association:
(1) The secretariat of this trade association shall propose a specific plan for the establishment of branches;
(2) submit the specific plan to the president's office meeting for discussion and adoption;
(3) submit the adopted concrete plan to the Council for consideration and approval.
(4) report to the social organization registration authority for examination and approval.
article 25 the association shall establish a board of supervisors, which shall be elected by the general meeting of members. The term of office of the board of supervisors is the same as that of the board of directors, and can be re-elected upon expiration.
the president, vice-president, directors and secretary-general shall not concurrently serve as supervisors.
Article 26 The president, vice-president, secretary-general and supervisor of this Association must meet the following requirements:
(1) Adhere to the Party's line, principles and policies and abide by national laws and regulations;
(2) It has great influence in this industry;
(3) The maximum working age of the president, vice-president and secretary-general shall not exceed 71 years old, and the secretary-general shall be full-time;
(4) Being in good health and able to work normally;
(5) He has not been subjected to any criminal punishment;
(6) Having full capacity for civil conduct.
Article 27 The Secretary-General of this Association adopts the appointment system, and the Secretary-General and the President cannot be produced in the same enterprise. The president may not concurrently serve as the secretary-general, and the general assembly or representative assembly shall have the right to elect or recall him.
Article 28 The Association shall have one president and several vice-presidents. The president shall be the legal representative of this trade association, and the legal representative of this trade association shall not concurrently serve as the legal representative of other social organizations.
Article 29 The term of office of the President, Vice-President and Secretary-General of the Association is 4 years, and the term of office may not exceed two consecutive terms. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members' representatives at the members' congress, reported to the competent business unit for review and approved by the association registration authority before taking office.
Article 31 The President of the Association shall exercise the following functions and powers:
(1) Convene and preside over the meetings of the Council;
(2) check the implementation of the resolutions of the general meeting and the Council;
(3) Signing relevant important documents on behalf of the Association;
article 31 the vice-president and secretary-general of this association shall work under the leadership of the president, and the secretary-general shall be responsible to the Council. The Secretary-General is full-time and exercises the following functions and powers:
(1) Presiding over the daily work of offices and organizing the implementation of annual work plans;
(2) organizing the formulation and implementation of annual work plans, budgets and decisions;
(3) coordinating the work of branches, representative offices and entities;
(4) to nominate the Deputy Secretary-General and the principal responsible persons of various offices, branches, representative offices and entities, and submit them to the Council or the Standing Council for decision;
(5) Nominating the employment of full-time staff of offices, representative offices and entities, and reporting to the President for approval;
(6) handle other daily affairs;
The Secretary-General attends meetings of the Council and the Standing Council.
article 32 the board of supervisors shall exercise the following functions and powers:
(1) report the annual work to the general meeting of members.
(2) to supervise the election and recall of the general meeting of members and the Council; Supervise the Council to implement the resolutions of the general meeting of members.
(3) check the financial and accounting information of the association and report the situation to the registration administration organ and the competent tax and accounting departments.
(4) Supervisors have the right to raise questions and suggestions to the board of directors as nonvoting delegates.
(5) to supervise the compliance of the Council with laws and articles of association. When the behavior of the president, vice-president, directors, secretary-general and other managers harms the interests of the association, they are required to correct it and report to the member congress or relevant government departments when necessary.

Chapter V Principles of Asset Management and Use
Article 33 Sources of funds of this Association:
(1) Membership fees;
(2) donation;
(3) government funding;
(4) Income from activities or services within the approved business scope;
(5) interest;
(6) Other lawful income.
article 34 when accepting donations, the association shall abide by laws and regulations, and shall not apportion in any form or in disguised form. Donors, sponsors or units, members and supervisors have the right to inquire about the use and management of donated property from the Association and put forward opinions and suggestions. The Association shall promptly and truthfully answer the inquiries of donors, sponsors or units, members and supervisors.
article 35 the funds of this association must be used for the business scope and career development stipulated in the articles of association. the property and other income are protected by law, and no unit or individual may occupy, privately divide or misappropriate them.
