II. General rules

1. Introduction by Party A

Yuncheng, located in the south of Shanxi Province, has a long history and is one of the birthplaces of the Chinese nation. Since ancient times, talented people have come forth in large numbers with splendid culture. Yuncheng, as an important part of Shanxi energy industrial base and new industrial base, has made indelible contributions to Shanxi Province and even the whole country. The leaders of New Town combine urban construction with cultural industry, take economic construction as the center, make full use of the advantages of hinterland industrial base, natural resources, technical talents, geographical location and traffic conditions, and strive to build projects such as old city reconstruction, new town construction, affordable housing construction, shantytown reconstruction, eastern central square construction, four major venues construction, and original ecological protection of Salt Lake City, so as to create a "cultural city" with local characteristics, and are striving to realize the great vision of leap-forward development of Yuncheng. Party A is willing to unite with powerful partners to devote itself to the urban construction after repositioning, so as to make Yuncheng an extremely bright pearl in the economic construction of Shanxi Province.

Party b introduces

Party B holds the first-class qualification of the national construction industry, with Beijing Luneng Hengxin Industrial Investment Co., Ltd. as the core and dozens of strategic partners such as Hunan Jianzong, Hunan Sijian, Beijing Shougang, China Decoration, Beijing Asia-Pacific Security, Tianjin Blue Point and Beijing Chen Jing Times, giving full play to the rich network resources and strong economic strength of the Chamber of Commerce. In recent years, Beijing Pangu Grand View, National Museum, Beijing Diaoyutai Seventh Hospital, Beijing Xiaoyun Road No.8, Aerospace Science and Industry Group 668 Project, Tianjin University Town, Tianjin Haiyi Changzhou, Shanghai Banknote Printing Factory, Hunan Huicong New City, Xiangya Third Hospital Surgical Ward Building, Gansu Yongchang County Dagangou Hydropower Station Project, Datong First People's Hospital and Datong City have been successfully completed in Beijing, Tianjin and Hebei, Shanxi and Guangdong. The planning, management and construction of key cultural, medical, educational, industrial, water conservancy, environmental protection, road and bridge, landscaping, intelligent weak current, urban lighting landscape engineering, decoration engineering, fire protection engineering and electromechanical engineering projects, such as Datong Fruit Market, five major venues in Datong, Jianhe Bridge in Hongtong County, Binhe East Road Crossing Project in Hongtong County, Hong Tong Prison Project and Guangdong Renhua Power Plant, have been recognized by the competent government departments and the same industry.

3. Purpose of cooperation

In order to actively implement the strategic plan put forward by the CPC Central Committee to strive to build an innovative country and realize the "Twelfth Five-Year Plan", which coincides with the great opportunity of the current world economic adjustment and China's economic transformation after the 18th National Congress, the development of Yuncheng urgently needs to establish an integrated platform that is trans-regional, interdisciplinary, cross-sectoral and inter-departmental, and can closely cooperate with a wide range of resources such as talents, culture, science and technology, finance, projects and markets. We will make full use of the abundant human resources, cultural resources, scientific and technological resources, industrial and agricultural resources, municipal resources, mining resources, educational resources and financial resources mastered by the Chamber of Commerce and Beijing Luneng Hengxin Industrial Investment Co., Ltd., and sincerely cooperate with Yuncheng Municipal Government to achieve a win-win situation and strive to promote the development of real economy, cultural economy, R&D economy and the new look of urban construction. Through this cooperation, capital investment, construction level and local development will be combined together, making great contributions to the development history of both sides.

After full investigation and discussion by both parties, Party A decided to introduce Shanxi Hunan Chamber of Commerce and Beijing Luneng Hengxin Industrial Investment Co., Ltd. to participate in the reconstruction of Yuncheng's old city and the construction of Yuncheng's new city, so as to realize the repositioning of Yuncheng:

1) Make Yuncheng a smart city with comprehensive administrative facilities;

2) Promote the upgrading of Yuncheng's industrial structure;

3) Realize the dream of a superstar city with leap-forward development and regional economy.

In witness whereof, this agreement is made through friendly negotiation between both parties, with the purpose of * * * development and sincere cooperation, and in accordance with the legal provisions of equality of rights and obligations:

Third, the content of cooperation.

1, obligations of Party A.

Party A hereby warrants and promises to Party B that Party A will provide Party B with corresponding policies and provide supporting services and support for the urban construction work that Party B participates in, including but not limited to handling the project approval documents and industrial and commercial, tax and other registration procedures for Party B and other investors. Coordinate and handle civil disputes and other related issues involved in the project construction process and enterprise production period, and ensure the personal and property safety of Party B's employees and the legitimate rights and interests of Party B according to law. Provide a good investment environment and services, and implement various preferential policies stipulated by the state, province and city (in case of policy changes, the relevant documents formulated and published by governments at all levels shall prevail). Party A is responsible for the establishment, planning, examination and approval of cooperative projects and "nine connections and one leveling" (water supply, power supply, ventilation, steam heating, access, sewage discharge, communication, rainwater diversion, cable TV and land leveling).

2. Party B's obligations

1) Assist Party A to make scientific and feasible strategic plans, including medium-and long-term plans and major project plans;

2) Cooperate with Party A to implement and coordinate various national and local high-tech industrial resources and preferential policies, and actively promote the urban construction of Yuncheng.

3) Party B must abide by relevant national laws and regulations, perform this contract, and participate in Yuncheng city construction with a brand-new service concept of civilization, high quality and diligence.

3. Rights of Party A

1) Supervise and guide Party B's urban construction work according to law.

2) Protect the legitimate rights and interests of Party B and other investors according to law.

4. Rights of Party B

1,) operates independently and independently according to law, and is not subject to anyone's illegal interference.

2. Have the right to receive bonuses or appropriate economic compensation according to law.

3. Have the right to distribute and profit from the company's assets, and have the right to purchase, merge, reorganize and go public.

The obligations of both parties are the same.

1) The basic principles of this agreement are voluntary win-win, mutual benefit, mutual promotion, common development, confidentiality and protection of the cooperative market.

2.) Give full play to the advantages of both sides, learn from each other's strong points, improve competitiveness, and jointly promote the project.

3. In the process of cooperation, the two sides maintain mutual trust, agreement and tacit understanding, which is the basis of strategic partnership for business cooperation and realizes the goal and fundamental interests of improving efficiency and common development.

6. The first cooperation project

1) First cooperation projects between the two parties: including but not limited to Yuncheng East Central Cultural Square, Science and Technology Museum, Library, Hedong Street Extension Project, Yidong Road, etc. Party B promises an initial investment of RMB 3 billion.

2) Pricing principle of cooperative projects: Party A shall calculate all expenses according to the budget quota of 201kloc-0/Shanxi construction project and the information price of materials in the same period. If the information price of materials cannot be determined, the market price and the price agreed by both parties shall prevail.

3) Payment of project funds for cooperative projects: Party A shall pay progress payment to Party B according to% of the output value of qualified projects completed by Party B. Party A will transfer the land located in the north of Weifeng Street in the Central Cultural Square to Party B at the price of 1 10,000 yuan/mu. After the signing of this agreement, Party A shall handle the relevant land transfer procedures from the date when Party B's engineering team enters the site for construction.

4) Party A shall quote a reasonable price and delivery date according to its actual situation, and support Party B in bidding. The price determined by Party A within the validity period of the quotation shall not be changed at will. After Party B wins the bid, Party A and Party B will sign another corresponding contract according to the actual goal to determine the rights and obligations of both parties.

7. Preferential policies

Party B and its subordinate investment enterprises must pay taxes according to law, and Party A agrees to reward Party B with% of the total tax paid by Party B and its subordinate investment enterprises.

Four. work arrangement

After this cooperation framework agreement comes into effect, Party A and Party B set up a joint work implementation team to promote the implementation of related work:

Under the guidance of Party A, both parties are responsible for the formulation and decision-making of overall cooperation matters.

The business leaders of the two sides are the executive heads of the joint working group and are responsible for implementing the identified cooperation projects.

3. For a single business, you can choose a suitable project leader and set up a special business operation team.

4. This agreement is a framework agreement, which should be a guiding document for long-term cooperation between the two parties in the future and the basis for signing relevant contracts.

Verb (abbreviation of verb) confidentiality clause

1. Both parties shall strictly keep confidential the business secrets of the other party learned through work contact and other channels, and shall not disclose, disclose or provide confidential information (whether written or oral or otherwise) obtained from the partner to a third party without the prior written consent of the other party. Confidential information includes but is not limited to the following:

1.) Trade secrets: Except for the work specified in this agreement, the technical data, business information and other materials of the other party shall not be used or copied without the prior consent of the other party, including but not limited to the mode of cooperation, all or part of the text content of the cooperation agreement itself and its annexes, and the implementation of the agreement.

2) Financial secrets: including but not limited to settlement standards, settlement methods, settlement cycle, income generated by this agreement and its distribution, etc.

3) Operation mode: including but not limited to business type, business situation, user information, promotion mode and implementation, etc.

4) When the cooperation agreement is terminated, either party shall return or destroy the relevant confidential information and materials it holds according to the requirements of the cooperation agreement between the two parties;

2. Party A looks for the demand information in this field according to the data and employment information provided by Party B. Party B knows the material and employment demand information of its corresponding country (or region) through the professionals designated by Party A, and Party B has the responsibility to keep the above information strictly confidential. Party B shall provide Party A with information on building materials and decorative products (including information on technical updates and new products) and the company's product trends and changes in a timely manner.

3. The confidentiality obligations of both parties shall not be terminated due to the suspension, cancellation, dissolution and termination of this Agreement.

The intransitive verb takes effect when it is signed.

1. The mode of cooperation between Party A and Party B is not exclusive, and both parties can cooperate with other corresponding partners at the same time.

2. The validity period of this agreement is years, and the execution period of the cooperation plan agreed in this agreement is years. After the expiration of this agreement, both parties shall give priority to renewing the cooperation agreement.

3. Either party shall notify the other party one month in advance if it terminates the agreement in advance; If one party terminates the agreement without authorization, the other party will reserve the right to hold the breaching party liable for breach of contract.

4. This agreement is a cooperation framework agreement, and the specific matters in the cooperation project need to be further clarified in the formal contract. The framework agreement and the formal cooperation contract constitute an inseparable whole and serve as legal documents for cooperation between Party A and Party B. ..

The cooperation between the two parties is mutually beneficial, and all contents and services are provided free of charge.

6. This cooperation framework agreement is made in quadruplicate, two for each party, with the same legal effect, and shall come into effect after being formally signed by the legal representatives or authorized representatives of both parties.

7. This cooperation framework agreement is subject to the Contract Law and other civil laws and regulations. If both parties have any disputes or disputes over the civil rights, obligations and responsibilities of this agreement, one party has the right to bring a civil lawsuit to the people's court at a higher level in the place where this agreement is signed.

8. Both parties shall, in accordance with the principles and relevant provisions established in this Agreement, sign another relevant contract for promoting specific cooperation, so as to further clarify the specific rights and obligations of both parties.
