Chapter I General Provisions
Article 1 The name of this association is "China Hotel Dining Entertainment Industry Association" (abbreviated as CHDEA). China Hotel Dining Entertainment Industry Association (CHDEA), abbreviated as "CHDEA".
Second Article The nature of the Association is: engaged in hotel and catering and entertainment business, restaurant services, hotel services, bars and KTV entertainment services, enterprises and institutions, trade organizations at all levels, social groups and hotel and catering and entertainment managers, experts, scholars, chefs, service personnel, etc. voluntarily composed of the hotel and catering and entertainment industry, the national industry across sectors, cross-ownership industry organizations, non-profit social groups. Article 3 The Association's purpose is to comply with the Constitution, laws, regulations and state policies, abide by social morals, "inheritance, pioneering, innovation, development" as the guideline for the national hotel and catering and entertainment industry guidance, management and coordination. Article 4 The Association accepts the guidance and supervision and management of the competent units.
Article V The Association shall have its seat in Hong Kong and a secretariat in Beijing.
Chapter II Scope of Business
Article 6 Scope of Business of the Association
(1) To publicize and implement the policies and regulations of the State, to reflect the relevant issues, opinions and aspirations of the members and the hotel and catering and entertainment industry, and to play the role of a social intermediary organization;
(2) To conduct investigations and researches on the development of China's hotel and catering and entertainment industry in terms of its policy, guidelines, planning, measures and other major issues, and to participate in the drafting of the industry. issues, participate in the drafting of industry regulations and standards, and make recommendations to the government and relevant departments;
(3) study and summarize the experience of deepening reform and market development in the hotel and catering and entertainment industry, and exchange and promote it;
(4) strengthen the construction of professional morality, and do a good job of self-discipline of the catering industry, and set up a good ethical culture;
(5) carry out the work of creating famous stores, catering and entertainment industry, and promoting the development of the industry; and Catering and entertainment industry to create famous stores, masters, famous products activities, organizations identified and recommended;

Chapter III Membership
Article 7 The members of the Association shall be divided into unit members and individual members.
Article VIII Members applying for membership in the Association must have the following conditions:
(1) Group Members:
Hotels around the world, hotels, restaurants, restaurants, bars, KTV entertainment enterprises, as well as hotels and catering and entertainment-related enterprises and institutions, hotels and catering associations (societies, research societies), hotels and catering and entertainment colleges and universities, research institutes, regardless of the Affiliations, the nature of ownership, who embrace the constitution of the Association, can voluntarily apply for membership, to become a group member of the Association.
(2) Individual members:
Hotels, hotels, restaurants, bars, KTV entertainment enterprises in the middle and senior management, researchers, professors, and the industry management experience in the management of the people who support the Association's constitution, love of China's hotels, can voluntarily apply for membership to become an individual member of the Association.
Article IX Membership procedures: Anyone who voluntarily participates in the Association shall submit an application form for membership. Introduced by the members of the Association, the Council of the Association or the authorized office to discuss and pass, approved to become a unit member or individual member of the Association, issued membership certificates. The unit member shall elect one or two persons as the representative of the unit member. For well-known persons who are enthusiastic about the hotel and catering and entertainment industry and culinary cause and actively support the work of the Association, they may be directly absorbed by the Executive Council as members or honorary members of the Association.
Article X. Members of the Association shall enjoy the following rights:
(1) the right to elect, be elected and vote in the Association;
(2) to participate in the relevant activities organized by the Association;
(3) priority in obtaining the services of the Association;
(4) the right to supervise, criticize and make suggestions on the work of the Association;
(5) voluntary membership and freedom of withdrawal from membership. ) Voluntary admission to the Association and freedom to withdraw from the Association.
Article 11 Members of the Association must fulfill the following obligations:
(1) To carry out and implement the policies and regulations of the state concerning hotels and catering and entertainment industry;
(2) To implement the resolutions of the Association and safeguard the lawful rights and interests of the Association;
(3) To complete the work entrusted to them by the Association;
(4) To take the initiative in reflecting the situation to the Association, providing relevant information and putting forward suggestions;
(5) To be free to join the Association. Provide relevant information and make suggestions;
(e) Pay the dues according to the regulations.
Article 12 A member who withdraws from the Association shall notify the Association in writing and return the membership certificate. If a member fails to fulfill the obligations of membership and does not pay the dues or participate in the activities of the Association for one consecutive year, he/she shall be regarded as automatically withdrawing from the Association.
Article 13 A member shall be removed from the Association by a vote of the Executive Council in case of serious violation of the Association's Articles of Association or if he/she is subject to criminal sanctions by the state.
Chapter IV Organizational Structure and Person-in-Charge Generation, Removal
Article 14 The supreme authority of the Association is the General Meeting of Members. The powers and functions of the general meeting shall be:
(1) to formulate and amend the bylaws;
(2) to elect and remove the directors;
(3) to consider the work report and financial report of the board of directors;
(4) to discuss and decide on the work policy and major matters of the association;
(5) to decide on the termination of matters.
Article 15 The general meeting of the members shall be convened with the attendance of more than two-thirds of the delegates, and its resolutions shall take effect with the vote of more than half of the delegates present.
Article 16 The general meeting shall be held for five years. In case of any special circumstances that require early or delayed renewal, it shall be voted by the board of directors, reported to the competent unit for examination and approved by the management department of the association registration. However, the extension of the renewal of the maximum term of not more than one year.
Article XVII of the Council is the executive body of the General Assembly of the members, in the intersessional period to lead the Association to carry out the day-to-day work of the General Assembly of the members is responsible for.
Article 18 The powers and functions of the Council are:
(1) to implement the resolutions of the general meeting of members;
(2) to elect and dismiss the executive director, the president, vice-president, secretary-general;
(3) to prepare for the convening of the general meeting of members;
(4) to report to the general meeting of members on the work and financial situation;
(5) Decide on the absorption or removal of members.
(vi) Decide on other important matters.
Article 19 The Council shall be convened with the attendance of more than two-thirds of the members, and its resolutions shall take effect with the vote of more than two-thirds of the members present.
Article 20 The Council shall meet at least once a year; in special cases, it may also be convened by correspondence.
Article 21 The Association establishes the Executive Council, consisting of a president, a number of vice presidents, a secretary general and a number of executive directors. Standing Council is elected by the Council and is responsible to the Council. When the Council is not in session, the Standing Council shall exercise the following powers and functions:
(1) to implement the resolutions of the general meeting and the Council;
(2) to finalize the annual work plan of the Association;
(3) to prepare for the convening of the general meeting of the members;
(4) to decide on the establishment of offices, branches, representative bodies and entities;
(v) Decide on the appointment of the deputy secretary-general and the main head of each organization;
(vi) Lead the organizations of the Association to carry out their work;
(vii) Formulate the internal management system;
(viii) Decide on other important matters.
Article 22 The Standing Council shall be convened with the attendance of more than two-thirds of the executive directors, and its resolutions shall come into effect with the vote of more than two-thirds of the executive directors present.
Article 23 The Standing Council shall meet at least once every six months. Special circumstances can also be held in the form of communication.
Article 24 The president, vice-president and secretary-general of the Association must have the following conditions:
(1) adherence to the Party's line, guidelines and policies, and good political quality;
(2) a greater influence in the catering industry;
(3) enthusiasm for China's hotels and catering and entertainment and the Association's work;
(4) the president, vice-president The maximum age of the president, vice-president and secretary-general shall not exceed 70 years old, and the secretary-general shall be appointed on a full-time basis;
(e) Be in good health and be able to hold on to his normal work;
(f) Have not been subjected to any criminal punishment depriving them of their political rights;
(g) Have the capacity for full civil behavior.
Article 25 If the president, vice-president or secretary-general of the Association exceeds the prescribed maximum age of tenure, they shall hold office only after a vote by the Board of Directors and approval and consent by the competent unit of the association's examination and registration management organ.
Article 26 The President, Vice President, Secretary General of the Association, each term of five years, the maximum term shall not exceed two, due to special circumstances need to extend the term of the General Assembly of members shall be more than two-thirds of the delegates voted on and reported to the competent unit of the review and approval of the registration authority.
Article 27 The Association's legal representative by the president or vice president. The legal representative of the Association does not concurrently serve as the legal representative of other organizations.
Article 28 The president of the Association shall exercise the following powers and functions:
(1) to convene and preside over the Council, the Executive Council and the President's Office; to elect to the Council the Honorary President of the Association and the invited advisors; to employ the advisors of the Association;
(2) to check the implementation of the resolutions of the General Meeting of the Members, the Council, the Executive Council and the President's Office;
(C) regularly or irregularly report to the Honorary President of the Association, invited advisers, consultants, to listen to the views of the work.
(d) Sign relevant important documents on behalf of the Association.
Article 29 The Secretary General of the Association shall exercise the following powers and functions:
(1) Under the leadership of the President and Vice-President of the Association, preside over the offices of the Association to carry out their daily work, and be responsible to the President and Vice-President.
(ii) organizing, formulating and implementing the annual work plan and checking its implementation;
(iii) coordinating the work of the branches, representative bodies and entity agencies;
(iv) nominating candidates for the post of deputy secretary-general and the main person in charge of the offices, branches, representative bodies and entity agencies for the decision of the executive council;
(v) Decide on the employment of full-time staff of the offices, representative organizations and entities;
(vi) Handle other daily affairs, and request and report major work matters to the leadership of the Association in a timely manner.
Chapter V Principles of Asset Management and Utilization
Article 30 The Association shall be financed by:
(1) membership fees;
(2) grants and donations;
(3) revenues from activities and services within the approved scope of business;
(4) interest;
(5) other lawful revenues.
Article 31 The Association collects membership dues in accordance with relevant state regulations.
Article 32 The funds of the Association must be used for the business scope and development of the cause as stipulated in the Articles of Association, and shall not be distributed among the members.
Article 33 The Association establishes a strict financial management system to ensure that the accounting information is legal, true, accurate and complete.
Article 34 The Association is equipped with accountants with professional qualifications. The accountant shall not be the cashier at the same time. When the accountant transfers his job or leaves his job, he must complete the handover procedures with the receiver.
Article 35 The Association's asset management must implement the financial management system stipulated by the state and accept the supervision of the general assembly and the financial department. If the source of the assets belongs to the state appropriation or social donation or subsidy, it must accept the supervision of the auditing authority and announce the relevant information in an appropriate way.
Article 36 The Association must accept the financial audit organized by the registration and management organs and competent units before the change of term or replacement of legal representatives.
Article 37 The assets of the Association shall not be appropriated, privatized or misappropriated by any unit or individual.
Article 38 The salaries, insurance and welfare benefits of the full-time staff of the Association shall be implemented with reference to the relevant provisions of the state for institutions.
Chapter 6 Procedures for Revision of the Articles of Association
Article 39 The revision of the Articles of Association shall be reported to the general meeting of the members for consideration after being voted on and approved by the Board of Directors or the Executive Council.
Article 40 The amended constitution of the Association shall come into effect within 15 days after it is passed by the general meeting of the members and reviewed and agreed by the competent unit and reported to the registration and management department for approval.
Chapter VII Termination Procedures and Disposal of Property after Termination
Article 41 When the Association accomplishes its purpose or dissolves itself or needs to be canceled due to other reasons, the Board of Directors or the Standing Board of Directors shall make a motion of termination.
Article 42 The motion of termination of the Association shall be voted by the general meeting of the members and reported to the competent unit for examination and approval.
Article 43 Before the termination of the Association, a liquidation organization shall be set up under the guidance of the competent unit and relevant departments to liquidate the debts and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation shall be carried out.
Article 44 The Association shall be terminated after the registration administration department handles the deregistration formalities.
Article 45 The remaining property of the Association after termination shall be utilized for the development of undertakings related to the purposes of the Association in accordance with the relevant provisions of the state under the supervision of the competent unit and the registration administration department.
Chapter VIII Bylaws
Article 46 These bylaws are adopted by the vote of the first general meeting of members.
Article 47 The power of interpretation of these bylaws shall be vested in the Board of Directors of the Association.
Article 48 This Constitution shall come into effect on the date of approval by the registration administration.
