Chapter I General Provisions
Article 1: The name of the Association is Shanghai Food Association (hereinafter referred to as the Association), and the English name is Shanghai Food Association
Article 2: The Association is a comprehensive and industrial social organization voluntarily established by enterprises and institutions related to the food industry in Shanghai and workers engaged in the food industry.
article 3: the purpose of this association is to implement the party's line, principles and policies, abide by laws and regulations, safeguard the legitimate rights and interests of food enterprises and provide all-round services for the food industry; Coordinate the development of cross-regional, cross-industry and inter-departmental contacts and cooperation, give play to the role of assistants and bridges between the government and enterprises, and promote the faster and better development of Shanghai food industry.
article 4: the competent business unit of this association is the Shanghai municipal commission of commerce, which is subject to the supervision and management of the community management department.
chapter ii responsibilities
article 5: the main tasks of this association are:
(1) to investigate the food market demand, study the development trend of food industry at home and abroad, and put forward the medium-and long-term development plan of food industry in this city and suggestions on relevant policies and regulations.
(2) help and guide the food industry to implement the modern enterprise system, sum up and popularize advanced experience, and improve the modern management level of enterprises.
(3) develop economic cooperation between the food industry and various regions and departments, dredge and coordinate the relationship between the food industry and relevant departments and industries, and promote the development of the food industry.
(4) strengthen information exchange, communicate food economic information and scientific and technological information, promote scientific and technological progress, accept entrustment, organize appraisal of scientific and technological achievements, and carry out consulting services.
(5) to participate in the formulation of food standards, food quality management, food hygiene management, environmental protection and technical supervision activities, accept entrustment, organize implementation and supervise; Help enterprises to improve basic management such as standards and measurement; Declare brand-name products for enterprises.
(6) hold lectures and training courses on food-related technology and management, accept entrustment, and provide consulting services for enterprises to introduce talents.
(7) carry out non-governmental exchanges in the international food industry, develop contacts and cooperation with relevant groups at home and abroad, organize domestic and international exhibition activities, and promote competition between enterprises and the international market.
(8) do a good job in industry statistics, collect and accumulate industry yearbook materials, and run industry publications well.
(9) to participate in the work related to the issuance of industrial production and business licenses and participate in qualification examination.
(11) to formulate and supervise the implementation of trade rules and regulations, standardize trade behaviors, coordinate peer price disputes and maintain fair competition.
(11) reflect the requirements of members, coordinate the relationship between members, safeguard the legitimate rights and interests of members, put forward reasonable suggestions, and strive for the attention and support of all sectors of society for this industry.
(12) to undertake various tasks entrusted and assigned by the government.
(XIII) The business scope of this Association: intermediary services, consultation and training, organization and exchange and other related businesses.
Chapter III Membership
Article 6: Association members are divided into group members and individual members.
(1) group members: enterprises, institutions and related groups engaged in food production, circulation, scientific research, design and teaching in this city can apply to join this association as group members if they recognize its articles of association;
(2) All experts, scholars and people at home and abroad who are enthusiastic about the cause of the Association and are interested in promoting the development of the food industry can voluntarily apply to join the Association as individual members if they recognize its articles of association.
article 7: the procedure for membership is: anyone who meets the membership requirements and voluntarily participates in this association must fill in an application form for membership and obtain approval from the Council of this association or the organization authorized by the Council before becoming a member of this association.
Article 8: Members shall enjoy the following rights:
1. The right to vote, to be elected and to vote;
2. Participate in various activities organized by the Association;
3. Give priority to the information, materials, training and consulting services provided by the Association;
iv. the right to criticize, suggest and supervise the work of this association;
5. Members have the right to ask for help when their legitimate interests are infringed;
VI. Voluntary membership and freedom of withdrawal.
Article 9: Members shall perform the following obligations:
1. Abide by the articles of association and conventions of the Association, support the work of the Association and safeguard its reputation;
2. actively participate in the activities of the association, implement the resolutions of the association, and complete the work entrusted by the association;
III. Support the work of the Association and provide relevant information, materials and statements;
iv. assist in keeping confidential the data and materials that are not made public by the association;
5. Pay the membership fee on time as required.
article 11: a member shall notify the association in writing of his withdrawal. If a member does not pay the membership fee or participate in the activities of this association for two years, it will be regarded as automatic withdrawal.
article 11: if a member commits a serious violation of the articles of association of this association, he/she may cancel his/her membership if it is approved by the board of directors or the agency authorized by the board of directors.
chapter iv organization
article 12: the highest authority of this association is the general meeting of members, whose duties are:
1. to formulate and amend the articles of association;
2. Election and recall of directors;
3. Hire honorary president and consultant;
iv. Review and adopt the work report and financial report of the Council;
5. Discuss and decide on other important matters such as the working policy and termination of this Association.
article 13: a general meeting of members can only be held when more than two thirds of the members are present, and its resolution can only take effect when more than half of the members present vote.
article 14: if the general meeting of members is held for five years, it needs to be changed in advance or postponed due to special circumstances, it must be voted by the board of directors, submitted to the competent business unit for examination and approval, and approved by the registration authority of the association, but the extension of the general meeting shall not exceed one year.
article 15: the board of directors is the executive body of the general assembly, leading the association to carry out its daily work during the intersessional period and being responsible for the general assembly.
Article 16: The duties of the Council are:
1. To implement the resolutions of the general meeting of members;
2. to elect and recall the president, vice-president and secretary-general;
3. Decide on the establishment and cancellation of offices and subordinate institutions;
iv. to decide on the appointment and dismissal of the principal responsible persons of various institutions;
v. leading the work of various institutions of this association;
VI. Formulate internal management system;
VII. Discuss and decide other important matters of the Association;
VIII. Prepare for the general meeting of members;
IX. Report the work and financial situation to the general meeting of members.
article 17: the term of office of the board of directors is five years. the board of directors meets once a year. it can be convened at any time under special circumstances. the board of directors can only be convened when more than two thirds of the directors are present, and its resolutions can only take effect when more than half of the directors present vote.
article 18: this association has a standing Council, which is elected by the Council. To exercise the functions and powers of items 1, 3, 4, 5, 6, 7, 8 and 6 of Article 16 when the Council is not in session, and be responsible to the Council.
article 19: the standing Council meets once every six months, and it can be convened at any time under special circumstances. the standing Council can only be convened when more than two thirds of the standing directors are present, and its resolutions can only take effect when more than half of the directors present vote.
article 21: the permanent working body of this association is the secretariat, which implements the secretary-general responsibility system under the leadership of the president, and the deputy secretary-general is appointed by the secretary-general. The secretariat is responsible for the daily work of member liaison, guidance and coordination.
article 21: the association shall have a president, an executive vice-president and secretary-general, and several vice-presidents, with a term of five years, and may be re-elected if re-elected, but the term of office of the president, vice-president and secretary-general shall not exceed two. If it is necessary to extend the term of office due to special circumstances, it must be voted by more than two-thirds of the members of the general assembly, reported to the competent business unit for review and approved by the association registration authority before taking office.
article 22: the secretary-general of this association is the legal representative of this association, and the legal representative does not concurrently serve as the legal representative of other organizations.
Article 23: The President of this Association shall exercise the following powers:
1. Convene and preside over the Council (or the Standing Council);
second, check the implementation of the resolutions of the general assembly and the Council (or the standing Council);
III. Signing relevant important documents on behalf of the Association;
4. Be fully responsible for the work of the Association and coordinate the relationship between various departments and professional committees;
Article 124: The Secretary-General of this Association shall exercise the following functions and powers:
1. Preside over the daily work of offices and organize the implementation of annual work plans;
2. Hire the Deputy Secretary-General and the principals of various offices;
3. Decide on the employment of full-time staff in the office;
iv. Handling other daily affairs and other functions authorized by the Standing Council;
Chapter V Economic Expenses
Article 25: Sources of funds of this Association:
1. Special financial appropriation;
ii. Membership fee income (the collection standard and method shall be decided by the board of directors);
iii. Funding and donations from member units;
iv. Income from activities and services within the approved business scope;
5. Interest;
VI. Other lawful income.
article 26: the funds of this association must be used for the development of business scope and undertakings stipulated in the articles of association, and shall not be distributed among members.
article 27: the association shall establish a strict financial management system to ensure that the accounting information is legal, true, accurate and complete.
article 28: the association must accept the financial audit organized by the registration authority of the association and the competent business unit before the general election.
article 29: the financial revenue and expenditure of this association shall be managed by the secretariat, and the financial revenue and expenditure shall be reported to the board of directors regularly.
article 31: no unit or individual may embezzle or misappropriate the assets of this association.
Chapter VI Termination and Disposal of Property after Termination
Article 31: If the Association completes its purpose or disbands itself or needs to be cancelled due to separation or merger, the board of directors will put forward a termination proposal, which will be voted by the general meeting of members, submitted to the competent business unit for examination and approval, and terminated after the cancellation registration formalities are handled by the association registration management authority.
article 32: before the termination of this association, a liquidation organization shall be established under the guidance of the competent business unit and relevant authorities to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
article 33: the remaining property after the termination of this association shall be used for the development of undertakings related to the purpose of this association under the supervision of the competent business units and the registration and management organs of associations in accordance with relevant state regulations.
Chapter VII Supplementary Provisions
Article 34: The amendment of the Articles of Association shall come into effect after being discussed and approved by the general meeting of members, submitted to the competent business unit for examination and approval, and approved by the association registration authority.
article 35: the interpretation of the articles of association of this association belongs to the Council.

Article 2 This association is approved by Changde Municipal Bureau of Commerce, registered by Civil Affairs Bureau, and engaged in catering business, catering management and catering education within the jurisdiction of Changde City.
article 3 the purpose of this association is to abide by the constitution, laws, regulations and national policies, observe social morality, strengthen industry management, coordinate the relationship between catering enterprises, unite all members, act as a bridge and link between members and relevant government departments, actively serve members, safeguard their legitimate rights and interests, strive to improve the overall management level of this industry, carry forward Changde catering culture, tap local dishes, train catering cooking talents and service talents, and prosper the catering service market in this city.
Article 4 The address of the Association is located on the 9th floor of Jiahe Hotel, Changde City, Hunan Province.
chapter ii business scope
article 5 the business scope of this association is:
(1) to implement the national guidelines, policies and relevant laws and regulations on the development of the catering industry, undertake or assist in the affairs involving this association, and provide basis and suggestions for the municipal government and relevant departments to formulate development plans for this industry and related industries. Safeguard the legitimate rights and interests of members and timely reflect their reasonable opinions and suggestions.
(2) Establish a catering industry information center, collect the latest information on the management, service methods and cooking skills of the catering industry at home and abroad, and summarize and promote the advanced experience of our member enterprises.
(3) Carry out industry investigation and study, organize various forms of academic and technical exchanges and seminars irregularly, set up industry models, increase brand awareness, improve the credibility and popularity of members and the association, improve the overall business environment, and strive to explore the development path of the catering industry in our city under the new business environment and macro policies.
(4) excavate and sort out traditional cooking skills and Changde local cuisines, and edit and publish relevant books and periodicals.
(5) actively participate in and co-organize the technical training and title evaluation within the scope stipulated by the relevant departments of provinces and cities. Actively offer various skills training courses to improve the quality of technical talents and management talents of member enterprises.

chapter iii membership
article 6 members of this association are divided into group members, individual members and honorary members.
(1) Group members: independent corporate enterprises of catering industry and related organizations within the jurisdiction of Changde City;
(2) individual members: engaged in the catering industry, holding certain positions or having certain professional skills.
Article 7 A member who applies to join this Association must meet the following conditions:
(1) Support the articles of association of this Association;
(2) Have the will to join this association;
(3) It has a certain influence in the catering industry in this city.
Article 8 Membership procedures are as follows:
(1) Submit an application for membership;
(2) Individual members must provide two one-inch color photos;
(3) After being examined and approved by the organization authorized by the board of directors, it will be distributed to group members and individuals in membership certificate.
Article 9 Members shall enjoy the following rights:
(1) Enjoy the right to vote, to be elected and to vote in deliberation;
(2) Give priority to participating in various activities organized by the Association;
(3) get the priority of our service;
(4) Give priority to obtaining the relevant information, publications and articles of the Association.
