Article 1 The name of this Association is "China Cuisine Association" (CCA for short) and "China Cuisine Association for short".
Article 2 The nature of this Association is: it is a national cross-departmental and cross-ownership industry organization and non-profit social organization composed of enterprises and institutions engaged in catering management, management and cooking skills, restaurant service, catering culture, catering education, cooking theory and food nutrition research, industry organizations at all levels, social organizations, catering managers, experts and scholars, chefs and service personnel.
Article 3 The purpose of this Association is to abide by the Constitution, laws, regulations and national policies, abide by social ethics, and do a good job in guiding, managing and coordinating the catering industry in China under the guidance of "inheritance, development, innovation and development". Reflect the wishes of members and the industry situation, safeguard the legitimate rights and interests of members and industry interests, and serve members, enterprises, society and government well. Carry forward the catering culture of the motherland, prosper the catering market, improve the level of cooking skills, study the science of cooking and catering, improve the level of enterprise management and industry development, train management and technical personnel in the catering industry, unite employees in the catering industry, adhere to Scientific Outlook on Development, and make positive contributions to the healthy development of China's catering industry and cooking industry.
Article 4 The Association shall accept the guidance, supervision and management of the competent authority SASAC of the State Council and the registration administration department of the Ministry of Civil Affairs.
Article 5 The meeting place of this Association is located in Beijing.
Chapter II Scope of Business
Article 6 The business scope of this Association
(a) to publicize and implement national policies and regulations, reflect the relevant issues, opinions and wishes of members and the catering industry, and give play to the role of social intermediary organizations;
(two) to investigate and study the principles, policies, plans and measures for the development of China's cooking and catering industry, participate in the drafting of industry regulations and standards, and make suggestions to the government and relevant departments;
(three) to study and summarize the experience of deepening the reform and opening up the market in the catering industry, and to exchange and promote it;
(four) to strengthen the construction of professional ethics, do a good job of self-discipline in the catering industry, and establish a good moral atmosphere;
(five) to carry out the creation activities of famous restaurants, famous teachers and famous products, and organize the identification and recommendation;
(six) the organization of cooking theory and food culture research, to promote the scientific level of the whole people's diet.
(seven) organize and participate in domestic and foreign cooking technology competitions to improve the level of cooking skills;
(8) Strengthen catering education, organize management and technical training to improve the comprehensive quality of catering employees;
(nine) to assist the relevant departments to do a good job in technology and enterprise rating, accept the entrustment of domestic and foreign enterprises, and handle the skill appraisal of catering industry;
(ten) to carry out exchanges and cooperation at home and abroad, improve the international status and influence of Chinese food, and introduce foreign advanced catering management experience and cooking technology;
(eleven) to carry out publicity and education on the nutrition knowledge of catering food, promote the reform of banquet, and advocate scientific and civilized dining;
(twelve) to promote the industrialization of cooking and industrialization, and promote the modernization of the catering industry;
(thirteen) the establishment of entities to carry out economic and trade exchanges, talent development and technical cooperation related to the catering industry;
(fourteen) to hold professional consulting services and exhibitions on cooking technology and catering industry management at home and abroad;
(fifteen) to complete the tasks entrusted by the government and undertake activities entrusted by relevant parties at home and abroad that are beneficial to the development of the catering industry.
Chapter III Members
Article 7 Members of this Association are divided into unit members and individual members.
Article 8 A member applying to join this Association must meet the following requirements:
(1) unit members: cooking and catering industry organizations and social organizations at all levels; Catering enterprises and institutions and related units; Regardless of the nature of ownership, those who support the articles of association and have certain influence in the industry can apply for membership voluntarily.
(2) Individual members: all kinds of employees and related personnel in the catering industry who support the articles of association of the Association and love the cooking and catering industry in China and have certain influence in the industry may apply for membership voluntarily.
Article 9 Membership procedures: Anyone who voluntarily joins this Association shall submit an application form for membership. After the introduction of the members of the Association, the Council of the Association or the authorized office discussed and approved to become a member of the Association or an individual member, and awarded the membership certificate. Unit members shall elect one or two people as representatives of unit members. Celebrities who are enthusiastic about catering and cooking and actively support the work of the association can be directly absorbed as members or honorary members of the association by the Standing Council.
Article 10 Members of this Association shall enjoy the following rights:
The right to vote, to be elected and to vote;
(two) to participate in relevant activities organized by the association;
(three) the priority of obtaining the service of this association;
(four) have the right to supervise, criticize and suggest the work of this association;
(5) Freedom to join and quit voluntarily.
Article 11 Members of this Association must fulfill the following obligations:
(a) the implementation of national policies and regulations on the catering industry;
(two) to implement the resolutions of this Association and safeguard the legitimate rights and interests of this Association;
(three) to complete the work assigned by the association;
(four) take the initiative to reflect the situation to the association, provide relevant information and make suggestions;
(five) to pay the membership fee according to the regulations.
Article 12 A member who withdraws from the meeting shall notify the Association in writing and return his membership card. If a member fails to fulfill his membership obligations, fails to pay membership fees or participate in the activities of the Association for one year in a row, it will be regarded as automatic withdrawal.
Thirteenth members who seriously violate the articles of association, or are subject to criminal punishment by the state, shall be removed by the Standing Council.
Chapter IV Establishment and Cancellation of Institutions and Responsible Persons
Article 14 The highest authority of this Association is the members' congress. The functions and powers of the members' congress are:
(a) to formulate and amend the articles of association;
(2) Electing and dismissing directors;
(three) to consider the work report and financial report of the Council;
(four) to discuss and decide on the working principles and major issues of the Association;
(5) Deciding to terminate.
Fifteenth members' congress can only be held when more than two thirds of the delegates are present, and its resolutions can only take effect when more than half of the delegates present vote.
Article 16 The general meeting of members shall be held every five years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be voted by the board of directors, reported to the competent unit for examination and approval, and approved by the registration management department of the association. However, the term of office shall not be extended for more than one year.
Article 17 The Council is the executive body of the general meeting of members, leading the association to carry out its daily work during the intersessional period and being responsible for the general meeting of members.
Article 18 The functions and powers of the Council are:
(a) to implement the resolutions of the members' congress;
(2) Electing and removing the executive director, president, vice-president and secretary-general;
(three) to prepare for the convening of the members' congress;
(four) to report the work and financial situation to the members' congress;
(5) Deciding to absorb or recall members.
(six) to decide on other major issues.
Article 19 The board of directors shall be convened only when more than two thirds of the directors are present, and its resolutions shall take effect only when more than two thirds of the directors are present.
Article 20 The Council shall meet at least once a year; Under special circumstances, an exchange meeting can also be held.
Article 21 The Association shall have a standing council, consisting of a president, several vice-presidents, a secretary-general and several standing directors. The Standing Council is elected by the Council and is responsible to the Council. When the Council is not in session, the Standing Council shall exercise the following functions and powers:
(a) to implement the resolutions of the general meeting of members and the members' council;
(two) to examine and approve the annual work plan of the association;
(three) to prepare for the convening of the members' congress;
(4) Deciding to establish offices, branches, representative offices and entities;
(five) to decide on the appointment of the Deputy Secretary-General and the principal responsible persons of various institutions;
(six) to lead the institutions of the Association to carry out their work;
(seven) to formulate internal management system;
(eight) to decide on other major issues.
Article 22 The Standing Council shall be convened only when more than two-thirds of the executive directors are present, and its resolutions shall take effect only after being voted by more than two-thirds of the executive directors present at the meeting.
Article 23 The Standing Council shall meet at least once every six months. Special circumstances can also be held in the form of communication.
Article 24 The president, vice-president and secretary-general of this Association must meet the following conditions:
(a) adhere to the party's line, principles and policies, good political quality;
(2) It has great influence on the catering industry;
(3) Enthusiastic about the catering industry and associations in China;
(4) The maximum age of the president, vice-president and secretary-general shall not exceed 70, and the secretary-general shall be full-time;
(5) Being healthy and able to stick to normal work;
(6) Having not been subjected to criminal punishment of deprivation of political rights;
(7) Having full capacity for civil conduct.
Article 25 If the president, vice-president and secretary-general of the Association exceed the prescribed maximum working age, they can take up their posts only after being approved by the Council, submitted to the competent authority for examination and approval, and approved by the registration and management authority of the Association.
Article 26 The term of office of the President, Vice-President and Secretary-General of this Association is five years, and the longest term of office shall not exceed two. If it is necessary to extend the term of office due to special circumstances, it shall be approved by more than two-thirds of the members' congress, reported to the competent unit for examination, and approved by the registration administration organ of the association.
Article 27 The legal representative of this Association is the president or vice president. The legal representative of this Association shall not concurrently serve as the legal representative of other organizations.
Article 28 The President of this Association shall exercise the following functions and powers:
(1) Convening and presiding over the office meetings of the Council, the Standing Council and the President; Recommend the honorary chairman and special adviser of the association to the Council; Hire our consultants;
(two) to check the implementation of the resolutions of the members' congress, the Council, the Standing Council and the president's office meeting;
(three) report to the honorary president of the association, invited consultants and consulting experts regularly or irregularly, and listen to their opinions.
(4) Signing relevant important documents on behalf of the Association.
Article 29 The Secretary-General of this Association shall exercise the following functions and powers:
(a) under the leadership of the President and Vice President of the Association, preside over the daily work of the offices of the Association and be responsible to the President and Vice President.
(two) to organize, formulate and implement the annual work plan, and check the implementation;
(3) Coordinating the work of branches, representative offices and entities;
(four) to nominate the deputy secretary general and the person in charge of the offices, branches, representative offices and units, and submit them to the Standing Council for decision;
(five) to decide on the employment of full-time staff in various offices, representative offices and entities;
(six) to deal with other daily affairs, and to ask for instructions and report major work matters to the leaders of the meeting in time.
Chapter V Principles of Asset Management and Use
Thirtieth sources of funds of this Association:
(1) membership fees;
(2) Funding and donation;
(3) Income from activities and services within the approved business scope;
(4) interest;
(5) Other lawful income.
Article 31 the association collects membership fees in accordance with relevant state regulations.
Article 32 the funds of this association must be used for the business scope and career development as stipulated in the articles of association, and shall not be distributed among members.
Article 33 An association shall establish a strict financial management system to ensure the legality, truthfulness, accuracy and completeness of accounting data.
Article 34 The Association shall be staffed with accountants with professional qualifications. Accounting personnel shall not concurrently serve as cashiers. When an accountant transfers his job or leaves his post, he must go through the handover procedures with the recipient.
Article 35 The asset management of this Association must implement the financial management system stipulated by the state and accept the supervision of the members' congress and the financial department. If the source of assets belongs to state grants or social donations or subsidies, it must accept the supervision of audit institutions and publish relevant information in an appropriate way.
Thirty-sixth before the association changes or changes its legal representative, it must accept the financial audit organized by the registration authority and the competent unit of the association.
Article 37 No unit or individual may occupy, privately divide or misappropriate the assets of this Association.
Article 38 The wages, insurance and welfare benefits of the full-time staff of this Association shall be implemented with reference to the provisions of relevant state institutions.
Chapter VI Procedures for Amending the Articles of Association
Thirty-ninth amendments to the articles of association of this association must be approved by the Council or the Standing Council and submitted to the members' congress for deliberation.
Article 40 The revised articles of association of this Association shall come into effect within 15 days after being adopted by the members' congress, deliberated and adopted by the competent unit and approved by the registration management department of this Association.
Chapter VII Termination Procedure and Property Disposal after Termination
Article 41 When the Association completes its purpose, disbands itself or needs to be cancelled for other reasons, the Council or the Standing Council shall propose a termination motion.
Forty-second the motion to terminate this association must be voted by the members' congress and submitted to the competent authority for examination and approval.
Forty-third before the termination of this association, a liquidation organization shall be established under the guidance of the competent unit and relevant departments to clean up the creditor's rights and debts and deal with the aftermath. During the liquidation period, no activities other than liquidation will be carried out.
Article 44 this association shall be terminated after the cancellation of registration by the association registration administration department.
Article 45 The surplus property after the termination of this Association shall be used for the development of undertakings related to the purposes of this Association under the supervision of the competent units and the registration administration departments in accordance with relevant state regulations.
Chapter VIII Supplementary Provisions
Article 46 The Articles of Association was adopted by the members' congress on June 6, 2004.
Article 47 The right to interpret the Articles of Association belongs to the Council of the Association.
Article 48 The Articles of Association shall come into force as of the date of approval by the administrative department of association registration.
