An ordinary limited liability company needs 2 (or more) shareholders with a minimum registered capital of 30,000 yuan. From 2006 1 month, the new company law stipulates that 1 shareholder is allowed to register a limited liability company. This special limited liability company is also called "one-person limited liability company" (but there will be no "one person" in the company name, and "sole proprietorship by a natural person" will be indicated in the license.

If you invest and start a business in partnership with friends and family, you can choose an ordinary limited company with a minimum registered capital of 30 thousand yuan; If you are the only shareholder, choose one-person limited liability company with a minimum registered capital of100000 yuan.

Second, the steps of registering a company:

1. name verification: go to the industrial and commercial bureau to get an "application form for pre-approval of enterprise (font size) name", fill in the company name you are going to take, and the industrial and commercial bureau will search online (the intranet of the industrial and commercial bureau) whether there is a duplicate name. If there is no duplicate name, you can use this name, and a "notice for pre-approval of enterprise (font size) name" will be issued. The handling fee for this step is 30 yuan. 30 yuan can help you search for five names, many of which are repeated, so you don't have to try the common names, so as not to waste money.

2. Rent a house: rent an office in a special office building, if you have your own factory or office, some places are not allowed to work in residential buildings. After renting a house, you should sign a rental contract and ask the landlord to provide a copy of the real estate license.

After signing the rental contract, you have to go to the tax bureau to buy stamp duty at the rate of one thousandth of the annual rent. For example, if your annual rent is 1 10,000 yuan, you should buy the stamp duty of 10 yuan money and post it on the front page of the rental contract. Any place that needs to use the rental contract later needs to be a copy of the contract with stamp duty.

3. Write "Articles of Association": You can download a sample of "Articles of Association" from the website of the Industrial and Commercial Bureau and modify it. The articles of association shall be signed by all shareholders at the end.

4. Carve a private seal:

Go to the place where the seal is engraved on the street and carve a private seal. Tell them about carving a corporate private seal (square). The cost is about 20 yuan.

5. Go to an accounting firm to get a "bank inquiry letter"

The process of company registration includes: enterprise name verification → submission of materials → obtaining a license → engraving, and the company can be registered and opened. However, if the company wants to officially start its business, it still needs to handle the following matters: bank account opening → tax registration → application for tax control and invoices → social security account opening.

Prepare materials

1, Application for Company Establishment Registration signed by the legal representative of the company;

2. Articles of Association signed by all shareholders;

3. corporate shareholders's qualification certificate or natural person shareholder's ID card and its copy;

4. Copies of appointment documents and ID cards of directors, supervisors and managers;

6. Agent's ID card and its copy;

7. Certificate of residence use.

Note: The preparation of residence use certification materials can be divided into the following three situations:

(1) If it is your own property, you need a copy of the property ownership certificate and your own ID card;

(2) If renting a house, a copy of the real estate license signed by the landlord, a copy of the landlord's ID card, a lease contract signed and sealed by both parties, and a rent invoice are required;

(3) If you rent an office building under the name of a company, you need a copy of the real estate license stamped by the company, a copy of the business license of the company, a lease contract signed and sealed by both parties, and a rent invoice.
