(Revised by the Fourth Council of Shaanxi Consumers Association on March 8, 2005) Article 1 Shaanxi Consumers Association (hereinafter referred to as the Association) is a legal social organization established with the approval of the provincial people's government, which performs its functions in accordance with the Consumer Protection Law (hereinafter referred to as the Consumer Protection Law), supervises goods and services, and protects the legitimate rights and interests of consumers.
The board of directors implements a governing system. It is composed of directors elected by judicial organs, relevant administrative departments, people's organizations, relevant news media, municipal consumer associations, consumers and operators.
We will abide by the Constitution, relevant laws, regulations and national policies, and abide by social ethics.
Article 2 The purpose of this Association is to supervise goods and services and protect the legitimate rights and interests of consumers in accordance with relevant national laws and regulations. Guide consumers to consume reasonably and scientifically, promote the healthy development of socialist market economy and promote the progress of social civilization.
Article 3 Shaanxi Provincial Administration for Industry and Commerce is the competent business unit of this Association; The association accepts the business guidance, supervision and management of Shaanxi Provincial Administration for Industry and Commerce and the registration management department of associations.
Article 4 The Association accepts the guidance of China Consumers Association, keeps close contact with judicial departments, relevant government departments, social organizations and news media, and gets their support. Article 5 According to the Law on the Protection of Consumers' Rights and Interests and the Regulations of Shaanxi Province on the Protection of Consumers' Rights and Interests, this Association shall perform the following duties:
(1) To publicize the laws, regulations and policies for protecting consumers' rights and interests;
(2) Popularizing and training consumer knowledge;
(three) through the mass media to publish consumer complaints and the results of the investigation, comparison and evaluation of the quality of goods or services;
(four) can be entrusted to represent the unspecified majority of consumers to bring a lawsuit against acts that harm the legitimate rights and interests of consumers;
(5) Providing consumer information and consulting services to consumers;
(six) to participate in the supervision and inspection of goods and services by the relevant administrative departments;
(seven) to reflect, inquire and make suggestions to the relevant administrative departments on issues related to the legitimate rights and interests of consumers;
(eight) to accept consumer complaints, and investigate and mediate the complaints, or send them to the relevant administrative departments for handling according to law;
(nine) if the complaint involves the quality of goods and services, it may be submitted to the appraisal department for appraisal, and the appraisal department shall inform the appraisal conclusion;
(ten) to support the injured consumers to file a lawsuit against the acts that harm the legitimate rights and interests of consumers;
(eleven) through the mass media to expose and criticize acts that harm the legitimate rights and interests of consumers.
The association does not engage in commodity management and profit-making services, and does not recommend commodities and services to the society for profit. Article 6 The tasks of this Association are:
(a) to assist the relevant departments to formulate laws, regulations or provisions to protect the legitimate rights and interests of consumers, and supervise the implementation;
(two) to carry out commodity comparison tests, publish the results, and recommend goods or services with excellent quality and performance to consumers;
(3) Issuing consumer warnings on a regular basis;
(four) to carry out theoretical research and special investigation on consumption and protection of consumers' legitimate rights and interests, and to organize and participate in relevant academic activities;
(five) publishing and editing newspapers, books, briefings and other promotional materials;
(6) Develop and improve consumer associations. According to the needs of work, complaint stations or workstations can be set up in enterprises, markets, streets and towns; To guide the work of city and county consumer associations;
(7) Arbitration of consumer rights disputes shall be conducted through the "Consumer Rights Dispute Arbitration Workstation" set up by arbitration institutions in this Association;
(eight) to strengthen contacts with consumers' associations in all provinces, municipalities and autonomous regions, and to carry out exchanges with foreign consumer organizations. Article 7 The governing body of this Association is the Council.
The functions and powers of the Council are:
(1) To formulate and modify the Articles of Association;
(two) to elect and recall the president, vice president, secretary general and executive director;
(3) To review the work report of the meeting of the executive directors;
(4) Deciding on other major matters.
Article 8 The board of directors shall be convened only when more than two thirds of the directors (or directors' representatives) are present, and its resolutions shall take effect only when more than half of the directors (or directors' representatives) present at the meeting vote.
Article 9 The term of office of the Council is five years. If it is necessary to advance or postpone the general election due to special circumstances, it shall be decided by the board of directors, reported to the competent business unit for review, and reported to the community registration management authority for the record.
Article 10 The Council shall hold a meeting once a year, which may be temporarily convened or postponed when necessary.
Article 11 The Association shall set up a standing council, which shall exercise its functions and powers when the council is not in session and be responsible to the council. The functions and powers of the Permanent Council are:
(1) Implement Security Council resolutions;
(2) Preparing for convening the Council and reporting to it;
(3) To consider the adjustment and addition of directors;
(four) to consider the replacement of the president, vice president, secretary general and executive director;
(5) Deciding to set up offices, branches and representative offices of the Association and leading them to carry out their work;
(six) to decide on the appointment and removal of the Deputy Secretary General and the heads of branches and representative offices. Examining and approving the internal management system;
(seven) to discuss and decide on other major issues.
Article 12 The Standing Council shall be convened only when more than two thirds of the executive directors are present, and its resolutions shall take effect only when more than two thirds of the executive directors are present and vote.
Article 13 The Standing Council shall meet at least once every six months. Under special circumstances, it can be held irregularly or in other ways.
Article 14 The Standing Council shall set up an office to handle daily work under the leadership of the Secretary-General.
Article 15 The president, vice-president and secretary-general of this Association must meet the following conditions:
1, adhere to the party's line, principles and policies, and have good political quality;
2. It has great influence in the business field of the association; 、
3. Good health;
4. The maximum working age of the president and vice-president shall not exceed 65 years, and the maximum working age of the secretary-general (full-time) shall generally not exceed 60 years.
Article 16 The president of this Association is the legal representative. The President, Vice President and Secretary General of the Association shall be nominated by the competent business unit and elected according to the prescribed procedures; The Deputy Secretary-General shall be nominated by the competent business unit and appointed and removed according to the prescribed procedures.
Article 17 The term of office of the President, the Vice-President and the Secretary-General is five years. At the expiration of the term, they may be re-elected.
Article 18 The President of this Association shall exercise the following functions and powers:
(1) Convene and preside over the Council and the Standing Council;
(2) Check the implementation of the resolutions of the Council and the Standing Council;
(3) Signing relevant important documents on behalf of this Council;
(4) Other matters for which the President is responsible.
Article 19 The Secretary-General of this Association shall exercise the following functions and powers:
(1) presides over the daily work of the office and organizes the implementation of the annual work plan;
(2) Coordinate all branches and carry out work on behalf of institutions;
(3) Nominating the heads of relevant institutions affiliated to the Association and submitting them to the Standing Council for examination and approval;
(four) to decide on the employment of full-time staff in the office;
(5) handle other daily work.
Twentieth according to the needs of career development, the association can develop a volunteer team in the society, and can set up an expert technical committee. Article 21 The sources of funds of this Association are:
Government funding;
(two) consumer dispute mediation fees;
(3) membership fee income;
(4) Accepting social sponsorship;
(5) Other lawful income.
Article 22 the funds of this association must be used for the business scope and career development stipulated in the articles of association.
Article 23 The financial management system stipulated by the state shall be implemented in the fund management of the Association. If the source of funds belongs to state grants or social donations, it shall be subject to the supervision of audit institutions.
Article 24 Before changing its legal representative, this Association shall accept the financial audit of the business management unit. Twenty-fifth amendments to the articles of association of this Association shall be approved by the Standing Council of this Association and submitted to the Council for deliberation and approval.
Twenty-sixth amendments to the articles of association of this association shall be reviewed and approved by the provincial administration for industry and commerce in advance, and reported to the association registration authority for the record. Article 27 The termination of this Association must be approved by the Council, submitted to the Provincial Administration for Industry and Commerce for examination and approval, and reported to the Association registration authority for the record after the assets are cleared.
Article 28 The Articles of Association was adopted by the general meeting of the Council on March 8, 2005. Article 29 The right to interpret the Articles of Association belongs to Shaanxi Consumers Association.
Article 30 The Articles of Association shall come into effect as of the date of deliberation and approval by the board of directors.
